The Shareholder Empowerment Debate: Lessons from News Corp’s Exodus to
Delaware

The balance of power between shareholders and the board of directors is a
contentious issue in current corporate law debate. It also lay at the heart of a
controversy concerning the re-incorporation of News Corporation (News Corp) in
Delaware. News Corp has recently been the subject of intense media attention due
its successful bid to acquire Dow Jones & Company. Nonetheless, News Corp's move
to the US, which paved the way for this victory, was neither smooth nor a fait
accompli. Rather, the original 2004 re-incorporation proposal prompted a revolt
by a number of institutional investors, on the basis that a move to Delaware
would strengthen managerial power vis-a-vis shareholder power. The institutional
investors were particularly concerned about the effect of the re-incorporation
on shareholder participatory rights, and the ability of the board of directors
to adopt anti-takeover mechanisms, such as poison pills, which are not
permissible under Australian law. It was this latter concern, which ultimately
led a group of institutional investors to commence legal proceedings in the
Delaware courts in UniSuper Ltd v News Corporation (2005 WL 3529317 (Del Ch)).
Jennifer Hill is Professor of Corporate Law at Sydney Law School, and writes
widely in the area of comparative corporate governance. Her recent research has
focused on international responses to global corporate scandals, and differences
in the balance of power between shareholders and management across common law
countries. Jennifer has visited at a number of US law schools. She has a
continuing position as Visiting Professor at Vanderbilt University, and has
previously taught at the University of Texas at Austin (1999); the University of
Virginia (1998) and Cornell University (1994). She is a Research Associate of
the European Corporate Governance Institute, and a member of the editorial board
of International Corporate Law and Financial Regulation, Cambridge University
Press. She is also a member of the Law Council of Australia, Corporations Law
Committee, and of the Corporations and Markets Advisory Committee (CAMAC), Legal
Sub-Committee, which advises the Australian federal government on law reform.

United States, the Hawai`i Association for Career and Technical Education (HACTE),

At the luncheon, 250 business people from a variety of occupations will have a
chance to be matched with 250 high school and community college career and
technical education students who have interests in their respective career
fields. The business people will have the opportunity to sit and chat over lunch
and to talk about the challenges and rewards of their jobs and careers.
HACTE is seeking 250 business people who are willing and able to host 250
students by attending the luncheon to share with the students their insights on
how to successfully transition from education to the workforce.
There are two ways to participate in this exciting event:
1. Individual Student Sponsorship – Individuals may sponsor a student for $100.
Students will be paired with their sponsor. (The $100 covers the lunch for the
sponsor and the student.)
2. Corporate Table Sponsorship – Companies may purchase a table for $500 and
have five company representatives paired with five students. (The $500 covers
lunch for the five company reps and the 5 students.)
Once payment has been received and a student(s) has(ve) been assigned, you will
receive confirmation from HACTE along with a short biography of the students.

Feature Speaker: Ferenc Sanderson,
received his B.Sc. in Monetary Economics from the London School of Economics &
Political Science in 1986, and an MBA in finance and strategy from Case Western
Reserve University in 2000. He is currently professional research fellow with
Columbia Graduate School of Business, Program for Alternative Investments. He
has passed the NASD series 7 and 63 exams. Ferenc is fluent in five languages.
He was the director of research at Daiwa Securities America where he helped
create their product platform for alternative investments. He has also conducted
manager research, monitoring and portfolio construction with an emphasis on
Japan and Asia. Currently, he is a Senior Research Analyst for hedge funds at

Hawaii Women’s Business Center Hosts Annual U. S. Small Business
Administration (SBA) Awards Luncheon - SBA Salutes Top Small Businesses &
Advocates for 2008
The Hawaii Women’s Business Center (HWBC) will host the prestigious
Annual Statewide SBA Small Business Awards Luncheon to observe National
Small Business Week and salute outstanding small business owners, exporters,
advocates and entrepreneurs from across the state.
The luncheon will be held on Wednesday, April 30, 2008, at the Hilton
Hawaiian Village from 11 a.m. to 1:30 p.m. The 2008 Small Business Award
winners will be announced later this month by the Hawaii District Office of
the U.S. Small Business Administration following the selection of the
national winners in Washington, D.C.
The Hawaii Women’s Business Center, along with co-sponsors HMAA, Bishop &
Co., Pacific Business News, Clear Channel Communications, Bank of Hawaii,
First Hawaiian Bank, and Hawaii National Bank, are planning an inspiring and
exciting luncheon in celebration and recognition of the contributions that
small businesses make to our community and economy.
Prior to the luncheon, the annual event features the “Winner’s Circle,” an
exciting business fair providing the small business owners and advocates
receiving the honors to showcase the special qualities and innovative
business practices that have set their business apart from their competitive
and driven their success. SBA will also honor SBA’s top lenders and lending
officers, and the top performing government contractors in the state with
SBA’s Award of Excellence.

Pittsburgh in 1979. After a brief training in the Oak Ridge National Laboratory,
he joined the Department of Genetics at the Hospital for Sick Children. He
received international acclaim in 1989 when he identified the defective gene
that causes cystic fibrosis, which is a major breakthrough in human genetics. He
has also made significant contributions to the study of the human genome,
especially the characterization of chromosome 7, and, identification of
additional disease genes. He has 290 peer-reviewed scientific publications and
65 invited book chapters and papers.
Professor Tsui has received numerous awards and honors for his outstanding work
over the years. His honors include Fellow of the Royal Society of Canada, Fellow
of the Royal Society of London, Fellow of Academia Sinica, and Foreign Associate
of the National Academy of Sciences ( USA ). In addition to many national and
international prizes, he was awarded honorary doctoral degrees by University of
King 's College, University of New Brunswick , The Chinese University of Hong
Kong, St. Francis Xavier University , York University , Tel Aviv University ,
University of Toronto and University of Aberdeen.
At the luncheon, Professor Tsui and his delegation member, Professor Johannes
Chan, Dean of Faculty of Law, will introduce the visionary plans of HKU, the
role of HKU in the development of Hong Kong as an education hub in bridging
“west” and “east” in general, and the changing role of its Law School in
particular.

China's Macro-Economic Control Measures and The Effect on Banking and
Industry

As inflation rises to an uncomfortable level, China is implementing biting
measures to cool its economy, measures that come with substantial
pre-Olympic infrastructure spending and rising energy and commodity prices.
Beyond these external factors, China's worst winter in decades has crippled
agriculture production, cut electricity and industrial output and halted
transportation in many provinces, pushing prices up. At the same time,
Beijing set a stringent program to slow credit growth including measures to
control banks' lending and higher deposit reserves. New labor contract laws
boost labor costs across industries, worsening labor shortfalls in many
regions. The constant strengthening of the RMB against the U.S. dollar
worsens manufacturers' margins.
How can industries cope with such pervasive trends? How will they affect the
banking sector, coming out of years of restructuring? Mr. Kiang will draw
upon over 20 years' experience in China banking to discuss how the dual
impact of rising inflation and ever-stringent macro-economic control will
affect China's banking and industrial sectors. He also will discuss the
future of foreign banks in China.
Mr. Kiang is a Vice President and the Executive Management Committee member
of Shenzhen Ping An Bank, and a member of the People's Political
Consultative Council of China's Jiangsu Province. He earned B.A. and M.S.
degrees in aeronautics and astronautics from MIT and an MBA from Harvard.
Working in aeronautics in Canada before switching to banking in New York, he
has been based in Asia since the mid-1970s. He has held top posts in
Citibank, Dao Heng, First Interstate, Bangkok and Standard Chartered banks,
and was COO for Citic Ka Wah Bank and North Asia MD for NM Rothschild. He
joined First Sino Bank in Shanghai in 2001 as Vice Chair and CEO. He
received a "World Manager Achievement" award in 2005 and "China's 10 New
Outstanding Leadership Award" in 2006.

The center of gravity of global capital markets activity has shifted toward
a burgeoning China market that has attracted and provided capital at record
levels. Hong Kong and Shanghai have emerged as key financial hubs for China:
in 2007, more IPO money was raised in Hong Kong and Shanghai than in either
the U.S. or London. At the same time, the Shanghai Stock Exchange’s
Composite index’s 97% climb made it the world’s best-performing major
benchmark.
This rapid growth raises the question of what the future holds for China’s
financial hubs. Are Hong Kong and Shanghai locked in competition for
dominance of China’s financial markets? The more reasoned view suggests that
both cities will continue to play important roles in the development of
China’s financial system.
Some of the critical questions to be examined:
· Why and how have Hong Kong and Shanghai become central to China’s capital
markets? How are their roles different? In what ways might they be
characterized as cooperative, competitive, or complementary?
· How will the growing convertibility of the RMB affect their roles?

MONUMENTAL INNOVATION: THE ART AND
ARCHITECTURE OF LONGXING MONASTERY

Outside of Beijing the Longxing Monastery comprises a number of extraordinary
buildings and sculptures that display the height of Song Dynasty (960 -1127 AD)
architecture. At no other site in China is there such a concentration of extant
art and architecture made from this period known for its elegance. It must be
remembered that architecture of this time was made exclusively of wood. The
colossal bronze 10th century sculpture of Avalokitesvara Bodhisattva, the wide
array of clay images, and the interesting monastic history add notable
prominence to the monastery. Dr. Ho will delineate the art and architecture of
the Longxing Monastery in the contexts of Song Buddhism and art history. He will
compare its innovative achievements with contemporary structures in Japan.
Formerly from Singapore, Dr. Ho is the Chairman and Professor of the
Architecture Department, Honorary Professor of Fine Arts, and the Dean of
Students at the Chinese University of Hong Kong. He received his M.A. in
Architecture with honors from the University of Edinburgh and his Ph.D. from the
University of London, School of Oriental and African Studies. The recipient of
many research grants, he was a visiting scholar at Kyoto University supported by
the Japan Foundation. He is an authority on China旧 vernacular and religious
architecture within its environment.

has also held the positions of Executive Advisor to the Governor of Hawaii
for International and National Affairs, Director of the State of Hawaii’s
Office of International Relations, and Executive Director of Hawaii’s World
Affairs Council, the Pacific and Asian Affairs Council, Founding Members and
Director of Hong Kong.China.Hawaii Chamber of Commerce.
A nationally and internationally respected expert in Asian Affairs with a
B.A. and M.A. in Chinese studies from the University of Washington and an
M.B.A. from the University of Hawaii, Ms. Foster is a member of several
national organizations including the Council on Foreign Relations (NY), the
Pacific Council on International Policy (LA), the National Committee on
U.S.-China Relations, the Asia Society, and the U.S. Committee on the
Council for Security Cooperation in Asia and the Pacific. She currently
serves on the Advisory Councils of Columbia University’s School of Social
Work and the University of Hawaii’s Shidler College of Business. She has
also served as President of the National Council of World Affairs
Organizations and is a former member of the Staff Advisory Councils for the
National Governors’ Association and the Western Governors’ Association of
which she also served as chair.
She is married to Dr. Lawrence Foster and they have one daughter.

Educated in the United States , Mr. Maisano received a Masters Degree in the
Philosophy of Law from the City University of New York and a B.A. from New York
University . He lived in South Korea as a member of the U.S. Peace Corps from
1972 to 1974, and was in Hong Kong for 25 years, working in journalism and
publishing.
Hong Kong's real strengths are not what you may think. We are all aware of its
rule of law and low taxation and freedom of information. But the abiding
strengths of Hong Kong lie much deeper. Jack Maisano will discuss what makes

What's special about a Bag Lunch Briefings?
Our new Bag Lunch Briefing (BLB) series aims to provide useful information and

The casual format includes brief presentations (10 minutes each), followed by
discussion. Each BLB will feature 1-2 speakers, and we'll invite other "guest

This month's briefing: World AIDS Day
December 1st is World AIDS Day, so our December Briefing will look at the
HIV/AIDS situation in Hong Kong and China, as well as what companies can do
about it. Programs related to HIV/AIDS and other health threats can bring
benefits to employees, the community, and companies, so we'll discuss why
companies should care and how they can take action that brings mutual benefits.
SPEAKERS
* Mr. Andrew Bester, Managing Director and Regional Head of Wholesale Banking
Client Relationships Greater China and Japan with Standard Chartered Bank, will
share a case study of SCB's programs in Hong Kong and Greater China. Mr.
Bester's prime responsibility is the management and strategic direction of the
corporate and institutional client franchise in Hong Kong, Mainland China,
Taiwan and Japan. He is a member of the Regional Executive Committee for Greater
China, the Bank’s Business Leadership Team and the Wholesale Banking Leadership
Team. He also serves on the boards of the Standard Chartered Bank (China)
Limited and Standard Chartered Bank (Taiwan) Limited. Andrew is an active
participant in corporate and social responsibility initiatives. He is the
Regional Ambassador of the Bank’s ‘Living with AIDS/HIV’ staff and community
education programme and is the Chairman of the Hong Kong Youth Arts Foundation.
Andrew is also a Member of the Business Policy Unit of The British Chamber of
Commerce in Hong Kong.
* Mr. Chung To, Founder and Chairperson, Chi Heng Foundation, will share some
background on the HIV/AIDS situation in Hong Kong and China, as well as his
thoughts on what companies can do. The Chi Heng Foundation, which has been
actively working on AIDS prevention and care in China. Mr To resided in the
United States for 13 years, where he received a Bachelor Degree at Columbia
University and a Master Degree at Harvard University. After graduation, he had
worked with a number of major investment banks in New York and Hong Kong. While
he was in Hong Kong, he founded Chi Heng and began volunteer services on AIDS
projects in mainland China. In 2002, he decided to turn his full attention to
his work with Chi Heng. Mr To has been a member of the AIDS Prevention and Care
Committee appointed by the HKSAR Government since 1999, and became the
Chairperson of AIDS Concern in 2003. This year, he was selected as one of Ten
Outstanding Young Persons of the World. He was also a recipient of the Ten
Outstanding Young Persons Award in 2003, and was featured as Ten Anti-AIDS
Heroes in China in 2004 and Ten Future Leaders of China in 2005 by People's
Weekly Magazine.
